Welcome to GrandCentr.al, an all-in-one business management platform provided by Studio98, LLC (“Studio98”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our web application (app.grandcentr.al), mobile apps (Android/iOS), and related services (collectively, the “Platform”).
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use GrandCentr.al.
1. Services Provided
GrandCentr.al is a subscription-based platform that helps small-to-medium businesses streamline operations. Key features may include:
- Lead & CRM Management
- Project & Subscription Management
- Support Ticketing
- Invoicing & Billing (including integrations with QuickBooks, Stripe, etc.)
- Company Resources Library
- Task Management & Checklists
- Reports & Dashboards
We may update, improve, or remove features at our discretion to enhance the Platform.
2. Eligibility
To use the Platform, you must:
- Be at least 13 years old, or the age of majority in your jurisdiction.
- Have the authority to enter into legally binding contracts (if using on behalf of a business).
3. Accounts
- You must provide accurate, complete, and up-to-date information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription, Billing & Cancellations
- Access to GrandCentr.al is provided on a subscription basis (monthly or yearly).
- Subscriptions automatically renew unless cancelled.
- Fees are billed in advance and are non-refundable, except where required by law or as otherwise stated in these Terms.
- If payment is not received within 21 days of invoice date, we may suspend or terminate your access.
- You may cancel your subscription by providing at least 7 days’ notice before the next billing date.
5. Refund Policy
We may provide refunds only under the following circumstances:
- If Studio98 cancels your subscription, you will receive a pro-rata refund for unused time.
6. Acceptable Use
You agree not to:
- Use the Platform for unlawful, fraudulent, or harmful purposes.
- Upload or share viruses, malware, or malicious code.
- Resell, sublicense, or exploit the Platform outside of agreed use.
- Attempt to bypass security or access data without authorization.
Violation may result in suspension or termination of your account.
7. Data & Privacy
- By using the Platform, you agree to our Privacy Policy.
- You retain ownership of the data you upload to the Platform.
- Studio98 may process your data as necessary to provide the Services.
- For business customers, our Data Processing Addendum (DPA) applies when we process personal data on your behalf.
- You are responsible for ensuring that your use of the Platform complies with applicable laws, including data protection laws.
8. Third-Party Services
GrandCentr.al may integrate with third-party services (e.g., QuickBooks, Stripe, Google, Microsoft, HubSpot).
- Use of these services is subject to their own terms and policies.
- We are not responsible for issues caused by third-party services or integrations.
9. Intellectual Property
- All intellectual property rights in the Platform and its content (except your uploaded data) belong to Studio98 or our licensors.
- We grant you a limited, non-transferable, revocable license to use the Platform for your business purposes.
- You may not copy, modify, reverse-engineer, or resell our technology.
10. Disclaimer of Warranties
- The Platform is provided “as is” and “as available.”
- We make no warranties that the Platform will be uninterrupted, error-free, or fit for a particular purpose.
- AI-generated outputs (where applicable) may contain inaccuracies, and you are responsible for reviewing and validating all results.
11. Limitation of Liability
To the fullest extent permitted by law:
- Studio98’s liability is limited to the amount you paid us in the 3 months prior to the claim.
- We are not liable for indirect, incidental, consequential, or special damages, including loss of revenue, profits, or data.
12. Indemnification
You agree to indemnify and hold harmless Studio98, its officers, employees, and affiliates from any claims, damages, liabilities, and costs arising from your use of the Platform or violation of these Terms.
13. Termination
- You may terminate your subscription per Section 4.
- We may suspend or terminate your account if you breach these Terms.
- Upon termination, your right to use the Platform ceases immediately.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Florida, USA.
Any disputes shall be resolved exclusively in the state or federal courts of Pinellas County, Florida, and you consent to such jurisdiction.
15. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you via the Platform or email. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
